Terms of Service

These Terms of Service ("Terms") apply to your access to and use of ADL Reports, including adlreports.com, sample downloads, report generation, and related services (the "Service").

If you access or use the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

We may modify these Terms from time to time. When we do, the updated Terms will be effective when posted on this page. Your continued use of the Service after the revised Terms are posted means you accept the updated Terms.

The Service may rely on or link to third-party websites, software, or services that we do not own or control. Your use of those third-party services is governed by their own terms and policies, not ours.

You may upload CSV files and other data to the Service in order to generate PDF reports. You retain your rights in your uploaded content.

By using the Service, you grant us a limited license to host, process, transmit, and use your uploaded content solely as necessary to operate the Service and generate your requested report.

You agree that you will not use the Service to:

• Upload content you do not have the legal right or authority to use.
• Upload unlawful, infringing, deceptive, malicious, or harmful content.
• Circumvent or attempt to circumvent usage limits, security measures, or abuse-prevention controls.
• Interfere with, disrupt, or overburden the Service or other users.

You are responsible for the legality, accuracy, and appropriateness of the files and information you submit.

The Service, including its design, branding, software, text, graphics, sample files, and related materials, is owned by ADL Reports or its licensors and is protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, revocable right to use the Service for its intended purpose. You may not copy, reverse engineer, modify, frame, scrape, or build a competing service based on the Service except as permitted by law.

We may change, suspend, limit, or discontinue all or part of the Service at any time, with or without notice. We may also enforce quotas, rate limits, and other controls designed to protect the Service.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADL REPORTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

You agree to defend, indemnify, and hold harmless ADL Reports and its affiliates, service providers, and representatives from and against claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, your uploaded content, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

We may suspend or terminate your access to the Service at any time if we believe you have violated these Terms, abused the Service, or created risk or harm for us, the Service, or others.

These Terms constitute the entire agreement between you and ADL Reports regarding the Service and supersede any prior agreements or understandings relating to the Service.
